Terms of Service

By using SmartSite Studios services or our website, you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Services

SmartSite Studios provides website development, AI receptionist services, automation tools, lead tracking, review management, and related services for local service businesses. Specific services and deliverables are outlined in your individual Service Agreement.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of any business you represent.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials, including passwords for the dashboard and client portal. Notify us immediately of any unauthorized use.

4. Payment Terms

Fees are outlined in your Service Agreement. The $200 signing fee is non-refundable. Monthly fees, when applicable, are billed in advance. Failure to pay may result in service suspension after 7 days notice.

5. Acceptable Use

You agree not to use our services to:

• Send spam, unsolicited messages, or violate TCPA/CAN-SPAM laws
• Engage in fraudulent or illegal activities
• Harass, threaten, or harm others
• Violate intellectual property rights
• Attempt to disrupt or breach our systems
• Use AI receptionists in ways that mislead callers about important matters (e.g., medical, legal, or financial advice)

6. Intellectual Property

You retain ownership of content you provide (logos, photos, copy). SmartSite retains ownership of underlying systems, code, and infrastructure used to deliver services. You receive a license to use deliverables for your business while a paying client.

7. AI Disclaimer

Our AI receptionist services are automated and may make errors. You acknowledge that:

• AI may misunderstand callers, mistype information, or make scheduling errors
• AI is not a replacement for human judgment in critical situations
• You are responsible for verifying AI-collected information before acting on it
• SmartSite is not liable for business decisions made based on AI outputs

8. Service Availability

We aim for high uptime but do not guarantee 100% availability. Services may be interrupted by maintenance, third-party outages, or events beyond our control. We are not liable for losses due to downtime.

9. Third-Party Services

Our services rely on third-party providers (Twilio, VAPI, Cal.com, Supabase, Netlify, etc.). Their availability and pricing affect ours. We are not responsible for changes or outages of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, SmartSite's total liability for any claim is limited to the fees you paid in the 30 days preceding the claim, or $200, whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost customers, or business opportunities.

11. Indemnification

You agree to indemnify and hold SmartSite harmless from claims arising from your misuse of services, violation of these Terms, or content you provide.

12. Termination

Either party may terminate the Service Agreement with 30 days written notice. SmartSite may suspend or terminate immediately for non-payment, abuse, or violation of these Terms.

13. Changes to Terms

We may update these Terms periodically. Continued use after updates constitutes acceptance. Material changes will be communicated via email.

14. Governing Law

These Terms are governed by the laws of California. Disputes will be resolved through binding arbitration in Santa Clara County, California.
